An Overview Of Sarbanes Oxley Act

On July 30th 2002, President Bush signed and approved the Sarbanes Oxley act. Thereafter, this act has turned over the processes of the financial reporting. With the implementation of this act, the Congress is now able to make certain changes to the financial reporting process in corporate world. On April 26 2003, SEC ordered NYSE and NASDAQ to restrict the listing of any public company whose audit committee does not conform to the mentioned new requirements that tend to affect the auditor appointment, oversight and compensation. An in depth Sarbanes Oxley analysis reveals that it is required that the audit committee should have the directors that are independent. According to this policy, a certification from the CEOs and CFOs is required in each report.

The report should certify the financial statements that conform to the Sections 13 (a) and 15(d) of the Securities and Exchange Act. In case any false certification is tendered, the certifying officers will be penalized with the amount of $1,000,000 or 10 years of imprisonment or both. For willing violation of the rules and codes, the certifying officer may be penalized with $5,000,000 or 20 years of prison sentence or both. The directors, senior executives and the audit officers are restricted from renewal of any personal loans. The companies are also required to make no extension or modification in personal loans for these officers.

This rule became effective on August 29 2002. According to this act, the deadline for the reporting of insiders on the trading of their company was fixed at two business days from the date of transaction.

This act was made effective immediately. According to it, every public company is required to disclose the additional information regarding the financial operations of the company. The information is to be disclosed on rapid basis whenever the SEC demands it.

Although this act is very beneficial, the overview of this act suggests that it has also contributed in creating a number of new crimes of the violations of the securities. Sarbanes Oxley compliance procedure is very strict yet complicated. It has been observed that several destructive and falsifying records have been created. These records can lead to bankruptcy or federal proceedings. Several people have developed certain fraud schemes to defraud investors. Several people have claimed false compliance. NASA announced setting up of a base on the moon and the National Institute of Health revealed that circumcision could reduce risk of getting AIDS through heterosexual sex.

Cruise ship sinking after hitting ice

MORE than 150 passengers and crew escaped unhurt after their cruise ship hit ice in the Antarctic and started sinking yesterday, the ship's owner and coast guard officials said.

A Norwegian passenger boat in the area safely picked up all the occupants of the Explorer from the lifeboats they used to flee the ship when it ran into problems off King George Island in Antarctica at 15:24 (AEDT), the Explorer's owners said.

A spokesman for Gap Adventures, the Canadian travel company that owns the vessel, said 154 passengers and crew had been on board the ship.

He had told Reuters earlier the number was 100.

“We were passing through ice as usual.. we do that every day ... But this time something hit the hold and we got a little leakage downstairs,” the Explorer's first officer Peter Svensson told Reuters Television by satellite phone from the Norwegian ship, the Nordnorge.

He said the rescue had gone smoothly. “No one was hysterical, they were just sitting there nice and quiet, because we knew there were ships coming.”

10 Great Settling in Tips for Your First Day in a New Home

Moving is an emotional moment. Sad and happy go hand in hand. And even the most experienced of movers admit to being disturbed at leaving one home and moving into the next.

Human beings connect with others and form bonds of love and hate. So, when the bonds are broken then a feeling of uncertainty and sadness creeps in. To move, one needs courage and plenty of patience. Moving into a new place has to be a team effort. So, involve the whole family and give everyone to do lists and plenty of hugs and kisses.

 Here are a few great tips for your first day in a new home:

  1. Let day one be a picnic day. Pack a hamper from the nearest bakery or deli and buy plenty of bottled drinks. Spread a rug in the middle of the new home and have a great picnic-meal and, in the evening, just plan on ordering in pizza. Save your self the bother of cooking and running out to buy groceries.

  2. To ease moving blues plan on unpacking the kitchen and the kids’ rooms before anyone else’s. Kids are more settled in their own beds around their own things and a kitchen always plays a big role in family lives.  The whistle of a kettle or ping of a microwave gives the feeling of home.

  3. If you have pets then try and make the house pet safe. Until all movers leave keep the pets safe in their crates along with their toys, fresh water, and a few treats.

  4. Ask movers to set down boxes room wise this will ease unpacking and be sure to record breakages and such on the inventory and try and preserve the boxes as well as take pictures if possible.  These will help when making a claim.

  5. Make arrangements to offer the movers a few sandwiches and either tea or cocoa. They will be most appreciative at your thoughtfulness.

  6. Ensure that the utilities like the gas, water, and electricity are all turned on.

  7. Unpack the essentials bag containing—emergency kit, blanket, toilet items, towels, torch, toys, and books first.

  8. Have a small “cheers to our new home” ceremony: put up a chime, plant a tree or bush, take a walk through the new house and say “hello I am here.”  Although this may seem silly to adults children love such things. If you have a dog take him or her around the new home and let the dog sniff all the new smells.

  9. Go and introduce yourself to the new neighbors. Let them know you have come.

  10. Take a family picture in the new home or garden as a memory of the day you arrived.

Help you children settle in by talking to them about the move and how even you are apprehensive. Help them share their fears and thoughts. On the first night spend more time with them at bed time and if need be organize a family sleep over in the living room. The excitement of a night together will erase all fears and tears. Tell stories, sing songs, and let the warmth of your love for one another ease all moving pains. 

Make the move a smooth transition and soon the family will settle in and form new bonds of friendship.
